TERMS OF SERVICE
These solicitor-review draft terms describe the intended agreement for business customers using ANDY. They are written for review before live self-service sales are enabled.
Review copy. These terms are not intended to be accepted by live customers until ANDY's platform owner has reviewed them with an appropriately qualified adviser and published an effective version. The published page will show the effective date and version accepted at checkout.
ANDY is provided for business use by organisations and authorised workers involved in regulated pharmaceutical, quality, logistics, compliance or related operational work. The customer is the organisation that creates or is assigned a workspace, and each person using that workspace must be authorised by that organisation.
ANDY provides a hosted workspace for evidence-led assistance, document handling, SOP library search, regulated-topic drafting support and related administrative workflows. ANDY may retrieve approved workspace material, cited official sources and permitted attachments to prepare working answers, summaries, checklists or drafts.
ANDY is decision support only. It does not act as a Responsible Person, Qualified Person, legal adviser, regulator, pharmacist, clinician or final decision-maker. It does not certify compliance, approve controlled documents, release stock, authorise regulated activity or replace the customer's approved quality system.
The customer remains responsible for ensuring that its users have suitable authority, training and supervision; that uploaded material is accurate, lawful and appropriate for the workspace; that regulated decisions are reviewed and approved by the correct human role; and that all use of ANDY fits the customer's licences, authorisations, SOPs, contracts and legal obligations.
Customers must not upload identifiable patient data unless ANDY has expressly agreed that use case in writing and the necessary data-protection arrangements are in place. Customers must not use ANDY for unlawful activity, to bypass required professional judgement or to make automated decisions about individuals with legal or similarly significant effects.
Users must keep login details secure, use required MFA where prompted and notify ANDY promptly if they suspect unauthorised access. The customer is responsible for activity carried out by its authorised users unless caused by ANDY's breach of these terms. ANDY may suspend access where reasonably necessary to protect the service, a workspace, data, payment security, legal compliance or other customers.
Subscription prices, billing intervals, included usage and plan features are shown at checkout and in the customer's billing area. Unless stated otherwise, displayed UK prices are intended to be VAT-inclusive. Stripe or another payment provider may process payment details, tax calculation, invoices, receipts, authentication and recovery of failed payments.
Subscription changes apply as shown in the billing flow or otherwise agreed in writing. ANDY will not silently move existing active subscriptions onto a new public price merely because the plan catalogue changes.
Users must not attempt to reverse engineer the service, attack or overload the platform, access another workspace without permission, remove security markings, introduce malicious code, use ANDY to generate unlawful or misleading material or submit content they do not have the right to use. ANDY may apply technical controls, rate limits and content-safety checks to protect the platform.
Outputs may be incomplete, wrong, out of date or dependent on the evidence available at the time. Cited sources, confidence ratings and decision-sensitive notices are aids to review, not guarantees. Customers must verify important outputs against current complete source material and keep regulated decisions with authorised people and approved records.
The customer keeps ownership of its uploaded documents, prompts, chat content and workspace records. The customer grants ANDY the permissions needed to host, process, secure, index, retrieve and display that content for the service and support. ANDY will not use customer workspace content to train public models unless the customer has expressly agreed that in writing.
Each party must protect the other's confidential information using reasonable care and may use it only to perform or receive the service, comply with law, exercise rights under these terms or where disclosure is required by an authorised court, regulator or public authority.
Where ANDY processes personal data for the customer as processor, the customer is the controller and ANDY will process that data only to provide the service, follow documented instructions, protect security, assist with appropriate data-rights and security obligations, use suitable subprocessors and make information available to demonstrate compliance. A fuller data-processing agreement should be reviewed alongside these terms before publication.
ANDY aims to provide a reliable service but does not promise uninterrupted access. Maintenance, updates, third-party outages, security incidents or events outside reasonable control may affect availability. Support requests should be sent to zach@andyrp.com unless another support route is agreed.
ANDY may improve, update or discontinue parts of the service. Material changes to these terms will be notified by a reasonable channel before they take effect, unless a change is needed sooner for security, legal or operational reasons. Continued use after the effective date means the customer accepts the updated terms.
The reviewed version should confirm the final liability cap and exclusions. The intended commercial position is that neither party excludes liability that cannot lawfully be excluded, including fraud, fraudulent misrepresentation or death or personal injury caused by negligence. ANDY is not intended to carry uncapped liability for business interruption, loss of profits, loss of goodwill, loss of anticipated savings or indirect or consequential loss.
The subscription continues for the selected billing interval until cancelled or terminated. The Cancellation Policy explains renewal, cancellation and access after cancellation. Either party may terminate where the other materially breaches the agreement and fails to remedy the breach within a reasonable written notice period, or immediately where required for law, security, non-payment or serious misuse.
The reviewed version should confirm governing law and jurisdiction. The intended position is that these terms are governed by the laws of England and Wales and that disputes are handled by the courts of England and Wales, unless a written contract with the customer says otherwise.
